The terms governing your access to and use of the Callario platform and website.

Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the Callario platform, website, and related services (collectively, the "Services"). By accessing or using the Services, or by accepting these Terms in an order or sign-up flow, you agree to be bound by them.

If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.

Callario is an early-stage company offering the Services in a supervised alpha. Features and availability may change as the Services evolve, and certain capabilities, including native voice, are offered on an early-access basis.

Accounts and Acceptable Use

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must promptly notify us of any unauthorized use.

You agree to use the Services only for lawful purposes and in compliance with these Terms and applicable law. You may not misuse the Services, including by attempting to gain unauthorized access, interfering with normal operation, reverse engineering except where permitted by law, or using the Services to transmit unlawful, infringing, or harmful content.

You are responsible for your end users' use of the Services and for ensuring you have all necessary rights and consents for the data you submit.

Customer Content and Data

You retain all rights in the content and data you submit to the Services ("Customer Content"). You grant Callario a limited license to host, process, and transmit Customer Content solely to provide and support the Services for you.

Our processing of personal information within Customer Content is governed by our Data Processing Addendum, which is incorporated into these Terms where applicable.

You are responsible for the accuracy, quality, and legality of Customer Content and for your right to use it with the Services.

AI Features and Verified-Resolution Billing

The Services include AI features that generate responses, suggestions, and automations. AI output may be inaccurate or incomplete; you are responsible for reviewing and supervising AI-assisted activity, particularly during alpha. AI features operate under our governance controls and do not use your data to train foundation models.

Where verified-resolution billing applies, charges are intended to accrue only when the AI verifiably resolves an interaction, with no charge for handoffs or unanswered interactions. Each applicable charge is accompanied by an auditable record, and disputes may be raised through the mechanisms described in the Services. Spend caps and alerts are available.

Specific pricing, billing mechanics, and any usage limits are set out in your order or plan and may be updated as described in those materials.

Fees, Term, and Termination

Fees, billing cycles, and payment terms are described in your applicable order or plan. Unless otherwise stated, fees are non-refundable except as required by law.

These Terms remain in effect while you use the Services. Either party may terminate as described in the applicable order or, absent an order, on reasonable notice. We may suspend or terminate access for violations of these Terms or to protect the Services or other users.

Upon termination, your right to use the Services ceases, and we will handle Customer Content in accordance with the applicable agreement and our Data Processing Addendum.

Disclaimers and Limitation of Liability

The Services are provided on an "as is" and "as available" basis, and during alpha may be subject to interruptions, errors, and changes. To the maximum extent permitted by law, Callario disclaims all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by law, Callario will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Callario's aggregate liability arising out of or relating to the Services will be limited to the amounts paid by you for the Services in the period giving rise to the claim, or as otherwise set out in your order.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

Changes, Governing Terms, and Contact

We may update these Terms from time to time. When we make material changes, we will take reasonable steps to provide notice, such as by posting the updated Terms. Your continued use of the Services after an update constitutes acceptance.

These Terms, together with any applicable order, Data Processing Addendum, and policies referenced herein, constitute the entire agreement between you and Callario regarding the Services and supersede prior agreements on the subject.
